Acceptance of Terms
By accessing or using any product, service, API, or website provided by XAI Agency (collectively, the "Services"), you ("User," "Client," or "you") agree to be legally bound by these Terms of Service ("Terms"). If you are entering into these Terms on behalf of a business or other legal entity, you represent that you have the authority to bind that entity to these Terms.
If you do not agree to these Terms in their entirety, you must immediately discontinue all use of the Services. Continued access to or use of the Services following any update to these Terms constitutes your acceptance of the revised Terms.
These Terms constitute a binding legal agreement between you and XAI Agency. Please read them carefully before using the platform.
Services Description
XAI Agency provides a B2B SaaS platform that enables businesses to deploy AI-powered customer support automation. The core services include:
- Embeddable Chat Widget: A customizable AI chatbot widget that Clients may embed into their websites or web applications to handle end-user queries autonomously.
- Knowledge Ingestion: Tools to upload documents (PDF, DOCX, TXT) and crawl website URLs. Content is processed into vector embeddings stored in a pgvector-backed PostgreSQL database, enabling semantic search (Retrieval-Augmented Generation).
- Hybrid AI + Human Inbox: An agent dashboard where human support staff can view, manage, and respond to conversations escalated from the AI, enabling seamless handoff between automated and human support.
- Analytics & Reporting: Workspace-level dashboards displaying conversation volumes, resolution rates, CSAT scores, and AI confidence trends.
- API Access: Programmatic access to certain platform features via authenticated REST APIs (subject to plan tier).
XAI Agency reserves the right to modify, suspend, or discontinue any feature of the Services at any time, with reasonable notice where practicable. New features or tools added to the platform shall also be subject to these Terms.
Account Registration & Responsibilities
To access the Services, you must register for an account. By registering, you agree to:
- Provide truthful, current, and complete information during registration and in all subsequent interactions with the platform.
- Keep your account information (including email address and billing details) up to date.
- Maintain the confidentiality of your login credentials (password, API keys, OAuth tokens). You are solely responsible for all activity that occurs under your account.
- Notify XAI Agency immediately at krishilagrawal026@gmail.com if you suspect any unauthorized access to your account.
- You may not share your account credentials with unauthorized third parties, resell access to the platform, or create accounts on behalf of others without explicit written permission from XAI Agency.
- You must be at least 18 years old and legally capable of entering into binding contracts to use the Services.
- Organizations using the Services must be duly registered legal entities in their respective jurisdictions.
Customer Data & Usage
You retain full ownership of all content, documents, URLs, and data you upload or ingest into the platform ("Customer Data"). XAI Agency does not claim any intellectual property rights over your Customer Data.
- By uploading Customer Data, you grant XAI Agency a limited, non-exclusive, royalty-free licence to store, process, index, and embed that data solely for the purpose of providing the Services to you.
- This licence terminates upon deletion of your data or closure of your account, subject to applicable retention obligations.
- Customer Data is processed through our AI pipeline, which uses LangChain abstractions to generate vector embeddings via the OpenAI Embeddings API. These embeddings are stored per-workspace in pgvector and used to generate accurate, context-aware responses via large language models (OpenAI GPT series).
- XAI Agency does not use your Customer Data to train generalized AI models or share it with other Clients. Processing is strictly workspace-isolated.
- You are solely responsible for ensuring you have all necessary rights, licences, and permissions to upload and process Customer Data through the platform.
- You must not upload data that infringes third-party intellectual property rights, contains unlawful content, or violates any applicable law or regulation.
Payment & Billing
XAI Agency offers both free and paid subscription tiers. Access to advanced features requires a paid plan.
- All payments are processed securely through Stripe. XAI Agency does not store your full credit card details on its servers. By providing payment information, you authorize XAI Agency (via Stripe) to charge your payment method on the applicable billing cycle (monthly or annual).
- Subscription fees are billed in advance at the start of each billing period. Prices are displayed in USD and are subject to applicable taxes.
- XAI Agency reserves the right to change subscription pricing with at least 30 days' prior notice to active subscribers via email.
- Subscription fees are non-refundable except where required by applicable law or at XAI Agency's sole discretion.
- If you cancel your subscription, you will retain access to paid features until the end of your current billing period. No pro-rated refunds are issued for partial periods.
- In the event of a verified billing error, please contact us within 14 days of the charge. Legitimate billing errors will be corrected promptly.
- If a payment fails, XAI Agency will notify you and may suspend access to paid features until the outstanding balance is settled. Accounts with unpaid invoices exceeding 30 days may be terminated.
Acceptable Use Policy
You agree to use the Services only for lawful purposes and in a manner that does not infringe the rights of others. The following are strictly prohibited:
- Using the Services to transmit, store, or process any content that is illegal, defamatory, obscene, harassing, or discriminatory.
- Attempting to reverse-engineer, decompile, disassemble, or otherwise derive the source code of any part of the XAI Agency platform, AI models, or infrastructure.
- Conducting denial-of-service (DoS/DDoS) attacks, excessive scraping, or any activity that unreasonably burdens the platform's infrastructure.
- Using the AI system to generate, distribute, or amplify misinformation, propaganda, spam, or phishing content.
- Attempting to extract proprietary embeddings, model weights, or system prompts from the platform.
- Circumventing usage limits, rate limiting, or authentication mechanisms.
- Impersonating XAI Agency, its employees, or other users in any communication.
- Reselling, sub-licensing, or white-labelling the Services without a separate written agreement with XAI Agency.
Violation of this Acceptable Use Policy may result in immediate account suspension or termination without refund.
Intellectual Property
All rights, title, and interest in and to the XAI Agency platform — including but not limited to its software, source code, UI/UX design, branding, trademarks, logos, AI architecture, prompt engineering, retrieval pipeline, vector database schemas, and proprietary APIs — are and shall remain the exclusive property of XAI Agency.
- Nothing in these Terms transfers any intellectual property rights in the platform to you. Your use of the Services does not grant you any ownership interest in XAI Agency's technology.
- You retain full ownership of your Customer Data (documents, website content, brand assets) that you upload to the platform. XAI Agency's limited processing licence (Section 4) does not constitute a claim of ownership.
- Any feedback, suggestions, or ideas you provide about the Services may be used by XAI Agency without obligation or compensation to you.
- The "XAI Agency" name, logo, and all related marks are trademarks of XAI Agency. You may not use them without prior written consent.
Termination
Either party may terminate the relationship under the following conditions:
- You may cancel your account at any time via your account dashboard or by contacting support. Cancellation takes effect at the end of your current billing period.
- XAI Agency may suspend or terminate your account immediately, without notice, if you breach these Terms, violate the Acceptable Use Policy, fail to pay outstanding invoices, or engage in conduct that poses legal or reputational risk to XAI Agency.
- For non-material breaches, XAI Agency will attempt to provide 7 days' written notice before termination, allowing you to remediate the issue.
- Upon termination, your right to access and use the Services ceases immediately.
- Customer Data (uploaded documents, vector embeddings, conversation logs) will be retained for 30 days post-termination, during which you may request a data export. After this period, all data is permanently deleted.
- Sections that by their nature should survive termination (including Intellectual Property, Disclaimers, Governing Law, and outstanding payment obligations) will survive.
Disclaimers & Limitation of Liability
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
- The AI responses generated by the platform are probabilistic in nature and may contain errors, omissions, or inaccuracies. XAI Agency makes no warranty that AI-generated content is correct, complete, or fit for any specific purpose.
- You are responsible for independently verifying any AI-generated output before relying on it for business decisions.
- XAI Agency does not guarantee uninterrupted, error-free operation of the Services. Downtime may occur due to maintenance, infrastructure issues (including third-party providers such as Vercel, OpenAI, or Cloudflare), or events beyond our control.
- TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, XAI AGENCY'S TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL FEES PAID BY YOU TO XAI AGENCY IN THE THREE (3) MONTHS PRECEDING THE CLAIM, OR (B) USD $100.
- IN NO EVENT SHALL XAI AGENCY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Modifications to Terms
XAI Agency reserves the right to update or modify these Terms at any time. The nature of the change determines the notification process:
- Material changes (those that significantly alter your rights or obligations) will be communicated via email to the primary address on your account at least 14 days before the effective date, and via a prominent in-app notice.
- Minor changes (corrections, clarifications, or additions of new features) may be made at any time and will be reflected by an updated "Last Updated" date on this page.
- The current version of the Terms is always accessible at xai-agency.vercel.app/terms.
- If you object to any revised Terms, your sole remedy is to stop using the Services and cancel your account before the effective date.
Governing Law & Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.
- Any dispute arising out of or in connection with these Terms or the Services shall first be attempted to be resolved through good-faith negotiation between the parties.
- If negotiation fails, disputes shall be submitted to binding arbitration under the rules of the American Arbitration Association (AAA), with proceedings conducted in English.
- Notwithstanding the above, either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm, including infringement of intellectual property rights.
- If you are located outside the United States, you agree that any legal proceedings will be conducted in the English language and that California law governs.
